Terms of Service

Welcome to Struxent. These Terms of Service (“Terms”) govern your access to and use of our website, services, and digital products. By engaging Struxent for services, purchasing our products, or using our website, you agree to these Terms.

If you do not agree, please do not use our services.

1. About Struxent

Struxent is a global, multidisciplinary web studio based in Indonesia, serving clients worldwide. We provide website design and development services, digital products (including templates), and related creative services.

All services are delivered remotely and communicated through digital collaboration tools.

2. Scope of Services

All services, deliverables, timelines, and pricing are defined in a written proposal or agreement prior to the start of a project.

Any work not explicitly outlined in the agreed scope is considered out of scope and will require a separate quote and approval before proceeding.

3. Project Start & Payments

To begin a project:

  • Written confirmation of the proposal is required

  • A 50% upfront payment must be received before the project is scheduled

The remaining 50% balance is due upon project completion and prior to final delivery or launch, unless otherwise agreed in writing.

For retainer engagements, invoices are issued monthly and must be paid according to the agreed billing terms.

All payments are non-refundable.

4. Revisions & Feedback

Each website project includes two structured feedback rounds:

  1. One round following the initial design direction

  2. One round after the client has added final content

All feedback must be submitted directly via comments in Framer to ensure clarity and efficient workflow.

Additional revision rounds, major scope changes, or new requests beyond the agreed scope will be billed separately.

5. Client Responsibilities

Clients agree to:

  • Provide required content, assets, approvals, and feedback in a timely manner

  • Ensure they have the legal right to use any materials they provide

  • Review deliverables within agreed timelines

Delays in feedback, content delivery, access, or payment may impact project timelines.

Struxent reserves the right to pause work if progress is blocked due to delayed communication, missing assets, access issues, or outstanding payments.

6. Collaboration & Tools Access

For technical setup, integrations, analytics, or third-party services, the client is responsible for providing timely access to relevant tools and accounts, including but not limited to:

  • Hosting platforms

  • Analytics tools

  • CMS or platform access

  • Third-party services required for integration

Struxent is not responsible for delays caused by missing, incorrect, or late access to required tool

7. Intellectual Property & Ownership

Client Website Projects

Upon receipt of full payment:

  • The client receives full rights and usage of all final deliverables

  • Ownership applies only to the completed project assets created specifically for the client

This ownership excludes third-party licensed assets, including but not limited to:

  • Fonts

  • Stock images or videos

  • Plugins

  • Software licenses

Such assets remain subject to their respective licenses, and the client is responsible for maintaining any required subscriptions or usage rights after project completion.

Struxent retains the right to display completed client work in its portfolio, website, case studies, social media, and marketing materials, unless otherwise agreed in writing.


Templates & Digital Products

All templates and digital products are sold under a license-based model:

  • Buyers may use the product for personal or commercial projects

  • Reselling, redistributing, sublicensing, or sharing the product is strictly prohibited

  • Ownership of the original product remains with Struxent

8. Third-Party Platforms & Services

Struxent may use third-party tools and platforms such as Framer, Google Analytics, Lemon Squeezy, and others as part of service delivery.

Struxent is not responsible for:

  • Downtime, bugs, or limitations of third-party platforms

  • Changes in pricing, features, or policies of third-party services

  • Issues arising after handover due to platform updates or external integrations

9. Suspension & Termination

Struxent reserves the right to suspend or terminate services if:

  • Payments are overdue

  • Required feedback or access is repeatedly delayed

  • The client breaches these Terms

In such cases, fees paid remain non-refundable.

10. Limitation of Liability

Struxent is not liable for:

  • Business losses, revenue loss, or missed opportunities

  • SEO rankings, conversion rates, or performance metrics beyond the agreed scope

  • Issues caused by third-party platforms, hosting providers, or integrations

Any liability is limited to the total amount paid for the specific service in question.

11. No Refund Policy

Due to the nature of custom digital services and digital products:

  • All payments are final

  • No refunds are offered

Struxent commits to delivering work aligned with the agreed scope and addressing issues within that framework.

12. Governing Law

These Terms are governed by and interpreted in accordance with the laws of Indonesia, regardless of the client’s location.

13. Updates to These Terms

Struxent may update these Terms from time to time. Any changes will be published on our website, and continued use of our services constitutes acceptance of the updated Terms.
